1. Agreement to These Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (or the company you represent) and Capstone Limited, trading as BAAS Kit Pro(“we”, “us”, or “our”), governing your access to and use of the BAAS Kit Pro website located at baaskitpro.com(“the Platform”) and any software templates, source code, files, documentation, implementation services, or other materials made available through it (“the Products”).
By accessing the Platform, completing a purchase, downloading any Product, or engaging us for services, you agree to be bound by these Terms. If you do not agree, you must not use the Platform or purchase any Product.
References to “you” or “your” refer to you as an individual or the legal entity you represent. Where you act on behalf of a company or organisation, you warrant that you have authority to bind that entity to these Terms.
2. What We Are
Capstone Limited (trading as BAAS Kit Pro) is a technology provider. We supply:
- Software foundations — pre-built codebases, UI templates, and starter kits for fintech and BaaS product development
- Development tools — components, integrations, and documentation to accelerate product builds
- Implementation support — technical consulting to assist clients in deploying and extending our software
- AML technology consultancy — advisory on the design and integration of AML/KYC technology (not legal or regulatory advice)
3. Eligibility and Accounts
You must be at least 18 years of age and have legal capacity to enter into contracts to use the Platform or purchase Products. If you are acting on behalf of a company, you represent that the company is validly incorporated and in good standing.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at operations@capstone-online.com if you suspect any unauthorised access to your account.
We reserve the right to refuse registration, suspend accounts, or cancel orders at our sole discretion, including where we reasonably believe that use of our Products may violate applicable law or these Terms.
4. Licence Grant
Subject to full payment and ongoing compliance with these Terms, Capstone Limited grants you a limited, non-exclusive, non-transferable licence to use the purchased Product as follows:
Scope- One (1) production deployment per licence purchased, unless an alternative scope is specified in writing in your order
- Agency licences permit use as the technical foundation for a single named client project, as specified at purchase
- You may use, modify, and white-label the source code for your own internal business purposes or for your licensed client project
- You may deploy the modified source code as part of your own product or service
- Modifications you author are your own intellectual property, subject to the underlying licence terms
- All intellectual property in the Products remains exclusively owned by Capstone Limited or its licensors
- This licence does not transfer ownership or any IP rights to you
- You may not resell, redistribute, sublicence, or transfer the original or substantially unmodified Product to any third party
- You may not include the Product in a template marketplace, code-library product, or SaaS offering that competes with BAAS Kit Pro
- You may not remove, obscure, or alter any copyright, trademark, or proprietary notices
- Products may include open-source or third-party components subject to their own licence terms
- A list of material third-party licences is included in the Product documentation
- Your use of such components is governed by the relevant third-party licence in addition to these Terms
5. Fees and Payment
All prices are displayed in United States Dollars (USD) unless otherwise stated at the time of purchase. Prices are subject to change; the price applicable at the time of your confirmed order will be honoured.
Product purchases are one-time fees. All sales are final and non-refundable once source code or access credentials have been delivered, due to the digital and immediately consumable nature of the Products. This does not affect any statutory rights you may have under applicable consumer protection law.
If a technical failure prevents delivery of a purchased Product, please contact us at operations@capstone-online.com within 7 days of purchase and we will resolve the issue or, at our sole discretion, issue a credit or replacement.
Ongoing implementation support, AML technology consultancy, and managed services are billed separately under service retainer agreements or statements of work, as agreed in writing.
6. Implementation, Consultancy, and AML Technology Services
Where we provide implementation support or AML technology consultancy, such services are limited to technology design and integration guidance only. We assist clients in configuring, deploying, and extending software systems. We do not provide legal advice, regulatory compliance advice, or advice on obtaining financial services licences.
You remain solely responsible for engaging qualified legal and regulatory counsel in every jurisdiction in which you operate or intend to operate, for obtaining all required licences and authorisations, and for designing and maintaining a compliant AML/CTF programme.
For identity verification and KYC/AML screening integrations, BAAS Kit Pro works with Sumsubas a technology partner. Any use of Sumsub's services through our integrations is subject to Sumsub's own terms and conditions. We do not warrant that Sumsub's technology meets the regulatory requirements of your jurisdiction.
7. Acceptable Use
Your use of the Platform and Products is subject to the Acceptable Use Policy set out in Part C below (Sections 16–18). By using the Platform or Products you agree to comply with the AUP at all times.
In particular, you must not use the Platform or Products to provide or facilitate unlicensed financial services, engage in or facilitate money laundering, terrorist financing, fraud, or sanctions evasion, or otherwise violate any applicable law or regulation.
8. Intellectual Property
All Products — including all source code, design assets, UI components, documentation, brand elements, and associated intellectual property — are and remain the exclusive property of Capstone Limited or its licensors. Your purchase grants a licence to use the Products as described in Section 4; it does not transfer ownership or any IP rights.
You retain ownership of your own data and content, your brand identity and visual assets, and bespoke logic or code that you author independently. Any derivative works of our Products remain subject to the licence terms in Section 4.
You must not use our name, logo, or trademarks without our prior written consent, except as required to accurately describe that your product was built using BAAS Kit Pro software.
9. Warranties and Disclaimers
Our Products and services are provided “as is” and “as available” without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We specifically disclaim any warranty that:
- The Products will meet your specific technical, business, or regulatory requirements
- The Products are suitable for use in a regulated financial services environment without modification
- Deployment will result in or assist in obtaining regulatory approval, licence, or authorisation
- The Products are free from bugs, security vulnerabilities, or errors
- Any third-party integrations (including Sumsub) will remain available or compatible
You are responsible for thoroughly testing Products in a controlled environment before deploying them in any production or regulated context.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
(a) Exclusion of indirect losses. Capstone Limited and its directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business, goodwill, or reputation.
(b) Specific exclusions. We are not liable for loss or misappropriation of customer funds; regulatory penalties or enforcement; actions by banking, payment, or infrastructure providers; or decisions and omissions of third-party providers.
(c) Aggregate liability cap. Our total aggregate liability for all claims shall not exceed the total fees paid by you to Capstone Limited in the twelve (12) months immediately preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Capstone Limited, its directors, employees, contractors, and affiliates from all claims, damages, losses, costs, and expenses arising out of or in connection with:
- Your use of the Platform or Products
- Your breach of these Terms or the AUP
- Any product, service, or platform you build using our Products
- Your violation of any applicable law, regulation, or third-party rights
- Any claim by a customer, regulator, or third party relating to financial services you provide
- Your failure to obtain required licences, authorisations, or regulatory approvals
12. Term, Suspension, and Termination
These Terms commence on the date you first access the Platform or purchase a Product and continue until terminated in accordance with this section.
We may suspend or terminate your access, revoke your licence, or cancel pending orders immediately if you breach these Terms or the AUP, if required by law, or if continued access poses a legal, regulatory, reputational, or security risk.
Upon termination, your right to access the Platform ceases immediately and any licence granted under Section 4 terminates, subject to survival provisions in your order documentation.
Source-code licence survival. Where your order documentation expressly provides that the source-code licence survives termination, your right to operate an existing deployed instance continues subject to the stated scope, provided termination was not caused by your breach.
Sections 8, 9, 10, 11, 13, 14, 15, and 16–18 survive termination of these Terms.
13. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page will reflect the most recent revision. Where changes are material, we will provide reasonable advance notice by email or a prominent notice on the Platform.
Your continued use after the effective date constitutes acceptance. If you do not agree to revised Terms, you must cease using the Platform and Products.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Montana, United States, without regard to its conflict-of-law principles.
Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of Gallatin County, Montana, United States, unless otherwise required by mandatory consumer protection law.
Either party may seek equitable relief in any competent court. The parties may also agree in writing to binding arbitration administered by the American Arbitration Association (AAA) in Bozeman, Montana.

Acceptable Use Policy
This Acceptable Use Policy (“AUP”) forms part of the Terms of Service above and applies to all users of the Platform and Products. Capitalised terms have the meanings given in the Terms of Service.
16. Prohibited Conduct
You must not use the Platform or Products to engage in, facilitate, or enable any of the following:
Unlicensed Financial Services- Providing regulated financial services without all required licences and authorisations in every applicable jurisdiction
- Misrepresenting the regulated status, licensing, or authorisation of any financial product built using our Products
- Money laundering or the receipt, concealment, or transfer of proceeds of crime
- Terrorist financing or support to any sanctioned person, entity, or jurisdiction
- Fraud, identity theft, account takeover, or any other deceptive financial scheme
- Sanctions evasion or breach of any applicable sanctions regime
- Reselling or redistributing our Products as a competing template, code library, or developer marketplace
- Reverse-engineering proprietary components beyond the delivered source code
- Security testing of the Platform or other users' systems without written authorisation
- Infringing intellectual property rights of Capstone Limited or any third party
- Violating applicable law, regulation, regulatory guidance, or third-party rights
- Engaging in activity that could damage Capstone Limited's reputation, operations, or legal standing
- Transmitting malware, ransomware, or other malicious code
17. Compliance and Cooperation
You are solely responsible for ensuring that your use of the Products complies with all applicable laws and regulations, including financial services regulation, data protection, consumer protection, and anti-money laundering.
You agree to cooperate fully and promptly with requests for information required to verify compliance, respond to authorities, or investigate suspected breaches. Failure to cooperate may result in licence suspension.
Capstone Limited may be required to disclose information about your use of the Products to relevant authorities and may do so without notice where legally required or permitted.
18. Enforcement
We reserve the right to take any of the following actions in response to a suspected or confirmed breach, at our sole discretion and without prior notice:
- Suspend or restrict your access to the Platform
- Terminate your account and revoke your licence
- Cancel pending orders and withhold delivery of Products
- Report your conduct to law enforcement or regulatory authorities
- Pursue any other legal remedies available to us
Continuation of source-code licence. Suspension or termination of Platform access does not automatically terminate a source-code licence to an already-delivered Product unless your order documentation provides for it or the breach is a ground for licence termination under Section 12.
Enforcement action does not limit any other rights or remedies available to Capstone Limited under these Terms, at law, or in equity.
